1. Introduction

Welcome to Softinapp.com, India's first software marketplace operated by Right Club 24 Private Limited. This Seller (Partner) Agreement governs your participation as a software creator, developer, or vendor ("Partner") on our platform. By uploading or selling software on Softinapp.com, you acknowledge that you have read, understood, and agreed to these terms.

2. Eligibility

Age Requirement
You must be at least 18 years old and legally capable of entering into binding contracts.
Software Rights
You must own or hold the full rights to distribute the software you upload.
Payment Account
You must have a valid bank account / UPI ID for receiving payouts.
Account Verification
Softinapp.com reserves the right to verify your identity and reject or suspend any seller account without prior notice.

3. Partner Account Setup

Registration
Register a seller (partner) account on Softinapp.com.
Submit Details
Submit accurate business or personal details, payment information, and software data.
Approval Process
Once approved, your software becomes visible to users for purchase.
False Information
Providing false or misleading information will result in immediate suspension or termination.

4. Software Submission Rules

Partners agree that all uploaded software:

Is original, virus-free, and does not infringe any copyright, patent, or trademark

Contains no malware, spyware, or malicious code

Includes a clear description, version, and usage instructions

Must not promote illegal, harmful, or adult content

Softinapp.com reserves the right to review, edit, or remove any listing without notice if it violates platform guidelines or applicable laws.

5. Revenue Share & Payout

Partner Share

Partners receive 60% of each successful sale.

Platform Fee

Softinapp.com retains 40% as service / platform fee.

Affiliate Sales: If a product is sold through an affiliate link, 20% of the total sale amount will be paid to the affiliate, and the remaining 60% will be calculated from the balance amount after affiliate commission deduction.

Payout Timeline

Payouts are processed within 7–10 business days after confirmation of sale and completion of refund period.

Minimum Threshold

Minimum withdrawal threshold: ₹500 INR.

Payment Methods

Payments are made via bank transfer or UPI.

Non-Qualifying Transactions

Refunded, cancelled, or fraudulent transactions will not qualify for payout.

6. Pricing & Discounts

Suggested Pricing
Partners may suggest retail prices for their products.
Promotional Adjustments
Softinapp.com may, at its discretion, apply discounts, coupons, or promotions to enhance sales visibility.
Final Price
Final selling price shown on the site may differ after promotional adjustments.

7. Intellectual Property

Ownership Rights

You retain full ownership of your software and grant Softinapp.com a non-exclusive, worldwide license to host, market, and distribute it on the platform.

Promotional Use

You authorize Softinapp.com to use your product name, logo, and screenshots for promotional purposes.

You affirm that your software does not infringe on any third-party rights.

8. Refunds & Disputes

Refund Policy
Refunds are handled under our official Refund Policy.
Dispute Resolution
In case of disputes between buyer and seller, Softinapp.com's decision shall be final and binding.
Cooperation
Partners must cooperate with the support team for quick resolution.

9. Content Moderation & Removal

Softinapp.com reserves the right to:

Remove software that violates laws, copyright, or internal guidelines

Suspend or terminate seller accounts engaged in fraud or policy breach

Withhold pending payments in case of investigation

10. Taxes & Compliance

Tax Responsibility

Partners are responsible for paying applicable GST / Income Tax on their earnings.

TDS Deduction

Softinapp.com may deduct TDS or statutory taxes as per Indian law.

Tax certificates and statements may be provided upon request.

11. Confidentiality

Non-Disclosure

Partners must not disclose any non-public information regarding Softinapp.com's systems, commissions, or operations.

Legal Action

Violation of confidentiality may lead to legal action.

12. Limitation of Liability

Softinapp.com and Right Club 24 Private Limited shall not be liable for:

Any loss of profits, data, or indirect damages arising from use of the platform
Software malfunction, data loss, or customer misuse of your product
Total liability shall not exceed the total fees paid to you in the last 30 days

13. Termination

Softinapp.com may suspend or terminate your seller account if:

You breach any clause of this Agreement

Your software generates excessive complaints or refund requests

You remain inactive for more than 6 months

Note: Upon termination, all pending or future payouts may be forfeited for policy violations.

14. Amendments

Softinapp.com may modify this policy anytime without prior notice. Updated versions will be published on our website, and continued use implies acceptance of new terms.

15. Governing Law & Jurisdiction

This Agreement is governed by the laws of India. Any dispute shall be subject to the exclusive jurisdiction of courts in Yamunanagar, Haryana, India.
